- Private Workspace: Countsheep is designed strictly for individual organizational use and does not provide public social media feeds, community forums, or public communication between users.
3. "AS IS" AND "AS AVAILABLE" DISCLAIMER
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
- WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
- WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, FULLY SECURE, ERROR-FREE, OR FREE OF TEMPORARY LATENCY.
4. HOSTING INFRASTRUCTURE AND DATA PRESERVATION
- Public Hosting: The Service is hosted on third-party public hosting infrastructure. Physical hardware preservation, power continuity, and baseline data storage integrity are governed by the hosting provider's infrastructure and technical environment.
- User Responsibility: While reasonable technical measures are implemented to protect your data, electronic storage carries inherent risks. Users are encouraged to maintain independent local copies or offline backups of critical information. The Service cannot guarantee against data loss resulting from upstream hosting failures, hardware breakdowns, or unforeseen technical issues.
5. CONTINUOUS DEVELOPMENT AND TEMPORARY DOWNTIME
Countsheep is under active development and undergoes continuous updates, refinements, and performance improvements:
- Feature Updates: We reserve the right to deploy new tools, modify existing features, adjust user interfaces, or refine system workflows at any time without advance notice.
- Potential Disruptions: Routine maintenance, feature deployments, database migrations, or server restarts may occasionally cause brief service interruptions, temporary downtime, or temporary degradation of performance.
6. STORAGE CAPACITY AND FAIR USE
- Current Status: There are currently no artificial limits or quotas imposed on user notes, tasks, or content volume.
- Upstream Hosting Limits: Overall storage capacity is naturally bounded by our hosting provider's resource allocations. If an account's data volume threatens infrastructure stability or exceeds hosting thresholds, we reserve the right to introduce reasonable storage guidelines or request data reduction.
- User-Initiated AI: AI productivity features are activated on-demand by the user. You have full discretion over how frequently you initiate AI-assisted actions within your personal workspace.
7. USER OBLIGATIONS AND PROHIBITED CONDUCT
You are responsible for safeguarding your login credentials. You agree not to misuse or attack the Service. Specifically prohibited actions include:
- Conducting denial-of-service (DDoS) attacks or deliberately generating abusive, high-volume automated traffic.
- Performing brute-force attacks on authentication endpoints or attempting credential stuffing.
- Probing, scanning, or testing system vulnerabilities or attempting to bypass security or authentication controls.
- Uploading or executing malicious code, scripts, bots, malware, or spyware.
- Using the Service for unlawful purposes or attempting to compromise the availability or integrity of the platform for other users.
8. INTELLECTUAL PROPERTY AND USER CONTENT
- Ownership: You retain full ownership and intellectual property rights over all notes, tasks, checklists, and content you create in the Service ("User Content").
- Operational License: You grant us a non-exclusive, worldwide, royalty-free license to store, process, display, and transmit your User Content solely to operate, maintain, and provide the Service to you.
- AI Training: As detailed in our Privacy Policy, user content and interaction patterns may be processed internally on our private infrastructure to train and refine our internal AI models, with direct identifying markers removed.
9. AI ASSISTANCE DISCLAIMER
- Automated Outputs: AI capabilities are intended to provide organizational suggestions, summaries, and drafting assistance. Responses are generated probabilistically by machine learning models and may occasionally contain inaccuracies or incomplete statements.
- User Review: You are responsible for reviewing and verifying the accuracy and suitability of any AI-generated outputs before acting on or relying on them.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OPERATOR/CREATOR OF COUNTSHEEP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF DATA, NOTES, TASKS, OR BUSINESS OPPORTUNITIES;
- LOSS OF PROFITS, GOODWILL, OR ANTICIPATED RESULTS;
- SERVICE DOWNTIME, DELAYS, OR UNAVAILABILITY;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR STORED DATA.
YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE SERVICE IS TO STOP USING COUNTSHEEP AND DELETE YOUR ACCOUNT.
11. ACCOUNT TERMINATION AND SUSPENSION
- Termination by User: You may delete your account at any time through your profile settings. Account deletion immediately and permanently erases your personal data and content from our active databases.
- Administrative Termination: We reserve the right to immediately suspend, restrict, or permanently terminate any user account without prior notice if the user engages in prohibited conduct, including but not limited to DDoS attacks, brute-force attempts, security exploitation, or system abuse.
12. MODIFICATIONS TO TERMS
We reserve the right to revise or amend these Terms of Use at any time. When modifications occur, the updated document will be published on the Service with an updated "Last Updated" date. Continued use of Countsheep following the publication of changes constitutes your agreement to the modified Terms.
